1. General Provisions
1.1. These terms govern how services are provided by Pazl LLC, a limited liability company registered in Sheridan, Wyoming, USA (hereinafter — the Contractor), and apply to consulting, design, UX/UI design, development, integrations, automation, and the maintenance of digital products.
1.2. By submitting a request, approving a commercial proposal, or paying an invoice, the client confirms their agreement to these terms.
1.3. Timelines, cost, and the scope of work are agreed upon individually — in correspondence, an invoice, a commercial proposal, a technical specification, or a separate agreement.
2. List of Services
The Contractor provides services in six areas:
- Web — sites, web apps, dashboards, and online stores, with accounts, payments, admin panels, and integrations;
- Mobile — iOS and Android applications, including store submission and launch;
- Games — mobile and web games: gameplay, art, backend, leaderboards, and in-app purchases;
- AI — assistants, agents, and automation built into the tools the client already uses;
- Bots — Telegram, WhatsApp, and Discord bots for orders, payments, support, and administration;
- Design — UX/UI design, interfaces, prototypes, and visual identity for the products listed above.
These are supported by integrations with payment systems and third-party APIs, audits and consulting, and technical support after launch.
The list may be expanded by agreement between the parties.
3. Procedure for Providing Services
Work on a project usually includes:
- discussing the task and business goals;
- gathering requirements, materials, and access credentials;
- estimating timelines, budget, and the implementation format;
- design, UX/UI design, development, integrations, and testing;
- demonstrating the result and gathering feedback;
- delivering the result in the agreed form;
- support and further development under a separate arrangement.
For small tasks, stages may be combined or skipped.
4. Materials and Access Credentials
The client provides texts, images, a brand book, access to the domain, hosting, CMS, CRM, analytics, and APIs, a description of processes, and the contact details of a responsible person.
The client is responsible for the legality of the materials provided, for holding the rights to use them, and for the accuracy of the information.
5. Timelines and Approvals
Timelines depend on the complexity of the project, the speed at which materials are provided, and the promptness of approvals.
Timelines may be changed if requirements change, materials are delayed, third-party services impose technical constraints, or unforeseen circumstances arise. If the client is out of contact for an extended period, the project may be put on hold.
6. Acceptance of the Result
After the work is completed, the Contractor delivers the result for review. Comments must be specific and relate to the agreed scope. New features, changes to logic, or the expansion of integrations are considered separate tasks.
If the client begins using the result or does not provide comments within a reasonable time, the work is deemed accepted.
7. Support and Maintenance
Support after the result is delivered (fixing errors, updates, enhancements, monitoring integrations, consulting) is provided under a separate arrangement — the scope, response times, and cost are agreed upon in advance.
8. Liability and Limitations
- The Contractor works within the agreed task and is not responsible for the consequences of changes made by the client or third parties.
- The Contractor is not liable for the operation of third-party services: hosting, domains, CRM, CMS, payment systems, APIs, social networks, and messengers.
- The Contractor does not guarantee specific sales, profit, search rankings, or number of requests, unless this is established separately.
- The client is responsible for the accuracy of the materials, access credentials, and legal information provided.
9. Confidentiality
The Contractor does not disclose the client's non-public information to third parties: access credentials, internal documents, commercial data, source code, and project materials. Information may be shared only with specialists involved in the project, or in cases provided for by law.
10. Payment, Cancellation, and Refunds
The cost and the payment schedule are agreed before work begins and are fixed in an invoice, a commercial proposal, a technical specification, or a separate agreement. There is no subscription and no recurring charge unless a support arrangement has been agreed separately in writing.
The client may cancel at any time. Work already performed and documented third-party expenses already incurred on the client's instructions are payable; any unearned portion of a prepayment is refunded. Cancellation and refund requests should be sent to hello@pazl.ai from the address used to place the order. The full cancellation and refund terms are set out in section 13 of the Terms of Service.
11. Final Provisions
These terms apply to all Pazl services unless the parties have agreed otherwise. The current version is published on the pazl.ai website.
